These Terms of Service ("Terms") govern your access to and use of the Uzera website, applications, and services (the "Service") provided by Uzera Inc. ("Uzera," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account you agree to provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
Uzera provides a governance and context layer for AI coding agents, including codebase indexing, rules and policy enforcement, observability, and audit logging. We may add, modify, or remove features at any time and will use reasonable efforts to notify you of material changes that affect your use of the Service.

You retain all rights to the code, repositories, and content you connect to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service for you. We do not train foundation models on your Customer Data. Our handling of personal data is described in our Privacy Policy.
Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except as required by law. We may change pricing with prior notice; changes take effect at the start of your next billing cycle.
The Service, including its software, design, and documentation, is owned by Uzera and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, Uzera will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of these Terms is limited to the amounts you paid us in the twelve months preceding the claim.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases and we may delete Customer Data in accordance with our data retention practices.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any disputes will be resolved in the state or federal courts located in Delaware.
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
